OVERVIEW
This website is operated by Tetsu & Oak. Throughout this website, the terms “we,” “us,” and “our” refer to Tetsu & Oak.
These Terms of Service (“Terms”) apply to your access to and use of our website, online store, products, knife-sharpening services, content, tools, and related services (collectively, the “Services”). Our online store is hosted by Shopify, which provides the e-commerce platform that allows us to offer products and services to you.
By visiting, using, or purchasing through the Services, you agree to these Terms and to the policies referenced in them, including our Privacy Policy, Refund Policy, and Shipping Policy, which are available through the links in the footer of our website.
Please read these Terms carefully. If you do not agree with them, do not use the Services.
Nothing in these Terms limits any consumer right or remedy that cannot lawfully be limited or waived under applicable law.
SECTION 1 — ELIGIBILITY AND ACCOUNTS
You must be at least the age of majority in your province, territory, state, or country of residence to create an account or place an order through the Services. If you allow a minor to access the Services using a device or account you control, you are responsible for that access.
You agree to provide accurate, current, and complete information when creating an account, placing an order, requesting a sharpening service, or otherwise communicating with us.
You are responsible for maintaining the confidentiality of your account credentials and for activity occurring through your account. You may not transfer, sell, assign, or license your account to another person.
SECTION 2 — PRODUCTS AND PRODUCT INFORMATION
We make reasonable efforts to describe and display our products accurately. However, colours, finishes, grain patterns, dimensions, and product appearance may vary slightly from photographs or from one item to another. Screen and device settings can also affect how products appear.
Japanese kitchen knives and handmade or hand-finished products may have minor cosmetic variations that do not affect their intended use. Product descriptions, specifications, prices, and availability may be changed without notice.
We reserve the right to discontinue products, limit quantities, correct product information, or restrict sales to particular persons, regions, or jurisdictions where permitted by law.
Unless expressly stated otherwise, product measurements and weights are approximate.
SECTION 3 — SHARP-PRODUCT SAFETY
Knives, peelers, sharpening tools, and related products are sharp and can cause serious injury if handled, transported, stored, or used improperly.
By purchasing or using these products, you accept responsibility for:
• using them only for their intended culinary purpose;
• following appropriate care and safety practices;
• storing them securely and away from children and unauthorized users;
• transporting them with the blade fully covered and secured; and
• ensuring that anyone using the product has the knowledge and ability to use it safely.
Never leave an exposed knife loose in a bag, box, drawer, or other container. Tetsu & Oak is not responsible for injury or damage caused by misuse, unsafe storage, unauthorized use, improper maintenance, or use contrary to provided instructions, except where liability cannot lawfully be excluded.
SECTION 4 — ORDERS AND ACCEPTANCE
Submitting an order is an offer to purchase. An automated order confirmation acknowledges that we received your order but does not necessarily mean that the order has been accepted.
We may accept, decline, cancel, or limit an order for reasons including product availability, suspected fraud, pricing or description errors, payment issues, shipping restrictions, or quantities that appear inconsistent with personal use.
If we cancel an order after payment has been processed, we will issue an appropriate refund to the original payment method.
Please review your order carefully before submitting it. We may not be able to change or cancel an order once processing has begun.
Unless otherwise agreed in writing, products purchased through the retail store are intended for personal or household use and not for commercial resale.
SECTION 5 — PRICES, TAXES, AND PAYMENT
Unless stated otherwise, prices are shown in Canadian dollars.
Prices, promotions, and discounts may change without notice. The price charged will be the price shown when the order is submitted, subject to correction of obvious errors and applicable law.
Taxes, shipping charges, and other applicable fees will be shown during checkout when available. International customers are responsible for any customs duties, import taxes, brokerage charges, or other charges imposed by the destination country, unless we expressly state otherwise.
You agree to provide current and accurate billing and payment information. You represent that you are authorized to use the payment method submitted with your order.
SECTION 6 — SHIPPING AND DELIVERY
Shipping and delivery are governed by our Shipping Policy, available through the website footer.
Delivery dates are estimates and are not guaranteed. Delays may occur because of carrier operations, weather, customs processing, incorrect address information, or events outside our reasonable control.
You are responsible for providing a complete and accurate delivery address. Contact us promptly if you discover an error. We cannot guarantee that an address can be changed after an order begins processing.
Claims involving missing, damaged, or incorrectly delivered packages will be handled in accordance with our Shipping Policy and applicable law.
SECTION 7 — RETURNS, REFUNDS, AND EXCHANGES
Returns, refunds, and exchanges are governed by our Refund Policy, available through the website footer.
Products must satisfy the conditions stated in that policy. Used, sharpened, damaged, altered, or improperly maintained products may not qualify for return unless the issue is covered by applicable consumer law or an express warranty.
Nothing in our Refund Policy or these Terms removes rights or remedies that cannot be waived under applicable consumer-protection law.
SECTION 8 — KNIFE-SHARPENING SERVICES
Sharpening prices, available services, drop-off instructions, and service information are listed on our Knife Sharpening Services page and may change from time to time.
Before dropping off knives, customers must follow the instructions shown on that page and arrange the service with Tetsu & Oak when requested.
All knives submitted for sharpening must be:
• clean and dry;
• fully covered with a blade guard, knife roll, original packaging, or rigid cardboard;
• secured so that the blade cannot slide out; and
• packaged safely for everyone who may handle the order.
Exposed, loose, contaminated, or otherwise unsafe knives may be refused.
We inspect knives before beginning work. Existing wear, chips, bends, rust, thinning, poor prior sharpening, or other damage may affect the final result. Major repairs, restoration, reprofiling, thinning, rust removal, and similar work may require an additional quote and approval.
Turnaround times are estimates unless we agree otherwise in writing. We will not perform additional chargeable work without reasonable authorization.
Customers are responsible for collecting completed knives within a reasonable time after being notified. Any special arrangements for unclaimed items must be confirmed directly with Tetsu & Oak.
A third-party drop-off location acts only as a transfer point unless expressly stated otherwise. Questions, quotes, payments, service decisions, and complaints must be directed to Tetsu & Oak.
SECTION 9 — INTELLECTUAL PROPERTY
The Services and their content, including our business name, logos, text, product descriptions, photographs, graphics, videos, layout, and design, are owned by or licensed to Tetsu & Oak and are protected by applicable Canadian and international intellectual-property laws.
You may use the Services for personal, non-commercial purposes only. You may not reproduce, republish, distribute, modify, sell, scrape, commercially exploit, or create derivative works from our content without prior written permission, except where permitted by law.
Shopify and other third-party names, logos, and trademarks belong to their respective owners.
SECTION 10 — OPTIONAL TOOLS AND THIRD-PARTY SERVICES
We may provide access to tools, applications, payment services, maps, social platforms, or other features operated by third parties.
We do not control all third-party tools or services and cannot guarantee their availability, accuracy, security, or performance. Your use of them may be subject to separate terms and privacy policies.
Use of an optional third-party tool is at your own discretion and risk, subject to rights that cannot be excluded by law.
SECTION 11 — THIRD-PARTY LINKS
The Services may contain links to websites operated by third parties. These links are provided for convenience and do not necessarily mean that we endorse the third party or its content.
We are not responsible for the content, accuracy, security, products, services, or practices of third-party websites. Review the third party’s terms and policies before submitting information or completing a transaction.
SECTION 12 — RELATIONSHIP WITH SHOPIFY
Shopify provides the e-commerce platform used to operate our online store. Purchases made through our store are transactions between you and Tetsu & Oak.
Shopify is not the seller of our products or sharpening services and is not responsible for product selection, fulfilment, customer service, sharpening work, or other obligations that belong to Tetsu & Oak.
Your use of Shopify-supported features may also be subject to Shopify’s own terms and privacy practices.
SECTION 13 — PRIVACY
Our collection, use, storage, and disclosure of personal information are described in our Privacy Policy, available through the website footer.
Because Shopify hosts our store, Shopify and service providers supporting payment, shipping, fraud prevention, analytics, communications, and store operation may process information in accordance with our Privacy Policy and their applicable policies.
SECTION 14 — REVIEWS, COMMENTS, AND FEEDBACK
If you submit a review, photograph, comment, suggestion, idea, or other content to us (“Feedback”), you represent that you have the right to submit it and that it does not violate another person’s rights or applicable law.
You grant Tetsu & Oak a non-exclusive, worldwide, royalty-free licence to use, reproduce, adapt, publish, display, and distribute the Feedback for operating, improving, and promoting the Services.
We are not required to keep Feedback confidential, compensate you for it, or publish it. We may remove Feedback that we reasonably believe is unlawful, misleading, offensive, infringing, fraudulent, or unrelated to the product or service reviewed.
SECTION 15 — ERRORS, INACCURACIES, AND OMISSIONS
Information on the Services may occasionally contain typographical errors, inaccuracies, or omissions involving descriptions, specifications, pricing, promotions, shipping charges, transit times, or availability.
We may correct errors, update information, or cancel affected orders where permitted by law. If an order is cancelled after payment, we will provide an appropriate refund.
SECTION 16 — PROHIBITED USES
You may not use the Services:
• for an unlawful, fraudulent, malicious, or abusive purpose;
• to violate any applicable international, federal, provincial, territorial, state, or local law;
• to infringe intellectual-property, privacy, publicity, or other rights;
• to harass, threaten, defame, impersonate, or harm another person;
• to submit false or misleading information;
• to introduce malware, harmful code, or security threats;
• to spam, phish, scrape, harvest data, or collect personal information without authorization;
• to interfere with the operation or security of the Services;
• to bypass access controls, robot exclusions, rate limits, or other protective measures; or
• to reproduce, resell, or commercially exploit any portion of the Services without permission.
We may suspend or terminate access where we reasonably believe these Terms have been violated.
SECTION 17 — TERMINATION
You may stop using the Services at any time.
We may suspend or terminate your access to the Services where permitted by law, including where you breach these Terms, misuse the Services, create security or fraud concerns, or fail to pay amounts owing.
Obligations and provisions that by their nature should continue after termination will remain in effect, including provisions concerning payment, intellectual property, Feedback, disclaimers, liability, indemnification, and governing law.
SECTION 18 — DISCLAIMER OF WARRANTIES
To the fullest extent permitted by law, the Services are provided on an “as is” and “as available” basis.
We do not guarantee that the website will always be uninterrupted, secure, error-free, or compatible with every device or browser.
Any product warranty expressly offered by us or a manufacturer will be governed by its stated terms. Otherwise, we disclaim warranties, representations, and conditions to the extent they may lawfully be disclaimed.
This section does not exclude any warranty, condition, right, or remedy that cannot be excluded under applicable consumer-protection or other law.
SECTION 19 — LIMITATION OF LIABILITY
To the fullest extent permitted by law, Tetsu & Oak and its directors, officers, employees, contractors, agents, service providers, and licensors will not be liable for indirect, incidental, special, punitive, exemplary, or consequential losses arising from the Services, including loss of profits, revenue, data, or business opportunity.
Where liability cannot lawfully be excluded, our liability will be limited only to the extent permitted by applicable law.
Nothing in these Terms excludes or limits liability for fraud, wilful misconduct, gross negligence, personal injury caused by negligence where such liability cannot be limited, or any other liability that cannot lawfully be excluded.
SECTION 20 — INDEMNIFICATION
To the extent permitted by law, you agree to indemnify and hold Tetsu & Oak harmless from third-party claims, losses, and reasonable costs arising directly from your unlawful use of the Services, your material breach of these Terms, or your infringement of another person’s rights.
This section does not require a consumer to indemnify us for our own negligence, breach of law, or conduct for which indemnification cannot lawfully be required.
SECTION 21 — SEVERABILITY
If any provision of these Terms is found to be unlawful, void, or unenforceable, that provision will be enforced to the maximum extent permitted or severed if necessary. The remaining provisions will continue in effect.
SECTION 22 — NO WAIVER
A delay or failure by us to enforce a provision of these Terms does not waive our right to enforce it later.
SECTION 23 — ENTIRE AGREEMENT
These Terms, together with the policies and terms referenced in them, form the agreement between you and Tetsu & Oak concerning your use of the Services and replace prior discussions or communications on the same subject.
If a specific written agreement between you and Tetsu & Oak conflicts with these Terms, the specific written agreement will control for the matter it covers.
SECTION 24 — ASSIGNMENT
You may not assign your rights or obligations under these Terms without our prior written consent.
We may assign or transfer our rights and obligations in connection with a sale, reorganization, merger, financing, or transfer of all or part of our business, subject to applicable law.
SECTION 25 — GOVERNING LAW
These Terms and any dispute relating to the Services are governed by the laws of the Province of Ontario and the federal laws of Canada applicable in Ontario, without regard to conflict-of-law principles.
Subject to any consumer right to bring a claim in another forum, the courts located in Ontario will have jurisdiction over disputes relating to these Terms or the Services.
Nothing in this section limits a right or remedy available under applicable consumer-protection law.
SECTION 26 — CHANGES TO THESE TERMS
We may update these Terms from time to time to reflect changes to our Services, practices, or legal obligations.
The updated Terms will be posted on this page with a revised “Last updated” date. Where required by law, we will provide additional notice.
Changes apply from the effective date shown. They do not retroactively change an order already accepted unless required by law or agreed with you.
